Terms of Service

VERSION 2026-10-12 · EFFECTIVE OCTOBER 12, 2026 · CURRENT VERSION

Previous version: 2026-07-29 (https://www.trymnemo.com/terms/versions/2026-07-29). All versions: https://www.trymnemo.com/terms/versions.

1. Agreement and acceptance

1.1 Agreement. These Terms of Service ("Terms") are a binding agreement between Mnemo LLC ("Mnemo", "we", "us") and the person or entity that accesses or uses the Services ("Customer", "you").

1.2 Acceptance by use. By accessing or using the Services, you agree to be bound by these Terms and the policies and agreements incorporated into them by reference. If you do not agree, do not access or use the Services.

1.3 Incorporated documents. The following are incorporated into these Terms by reference and form part of the agreement between you and Mnemo (together with these Terms, the "Agreement"):

The Privacy Policy at https://www.trymnemo.com/privacy explains how Mnemo handles personal data as a controller.

1.3A Automatic DPA. Where Mnemo processes Personal Data on Customer’s behalf and applicable Data Protection Law requires a data processing agreement, Mnemo’s Data Processing Addendum (‘DPA’), available at https://www.trymnemo.com/dpa, is incorporated into these Terms by reference and applies automatically to such processing. No separate signature, click, sales contact or activation is required.

1.4 Acting for an entity. If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "Customer" and "you" refer to that entity. If you do not have that authority, you must not access or use the Services on its behalf.

1.5 Automated Systems. "Automated System" means an AI agent, software application, script, SDK, wallet, protocol client or other automated means.

  • (a) Access to or use of the Services through an automated agent, application, script, SDK, protocol client, wallet, autonomous system, or other automated means constitutes access to and use of the Services by the person or entity that operates, controls, authorizes, deploys, or causes that system to access the Services.
  • (b) By causing or permitting an Automated System to access or use the Services, submit a request, accept a payment challenge, authorize payment, or receive a Service result, you agree to these Terms and represent and warrant that you have authority to bind the applicable person or entity on whose behalf the Automated System acts.
  • (c) You are responsible for the acts and omissions of Automated Systems you operate or that act on your behalf, as if they were your own.

1.6 Two access methods, one agreement. These Terms apply equally to access with an account or API key and to accountless access paid through x402 (Section 5.2). Making a request to the Services, including sending a payment authorization in response to a payment challenge, is use of the Services.

2. Business use only

The Services are business and developer infrastructure. They are not offered for personal, family or household purposes. You represent that you access and use the Services for business or professional purposes. Nothing in these Terms limits rights that, under applicable law, cannot be limited by contract.

3. Definitions

  • "Services" means the Mnemo website, the Mnemo API (https://api.trymnemo.com), the Mnemo SDK, the published protocol documentation, and related services.
  • "Customer Content" means data you or your Automated Systems submit to the Services, including vectors, embeddings, inputs, metadata, provenance or lineage requests, and the records the Services generate from them for you.
  • "Operational Data" means data Mnemo processes for its own purposes in operating its business, such as account, authentication, billing, payment, security, fraud-prevention, telemetry and support data.
  • "Verification" means a request to the verify endpoint that is processed and returns a result.
  • "Healthy Verification" means a Verification the Services execute and return a result for, whether or not a watermark is found.
  • "Trial" means the free evaluation access described in Section 4.1.
  • "Order Form" means an order form, enterprise agreement or other written agreement for the Services signed by Mnemo and you.
  • "Confidential Information" has the meaning given in Section 12.

4. Trial, paid plans and the SDK

4.1 Free trial; no permanent free tier. Mnemo may provide a free Trial to evaluate the Services. A Trial lasts at most 30 days (720 hours) from activation and ends earlier when the trial verification allowance shown at https://www.trymnemo.com/pricing is used up. Unused trial allowance expires when the Trial ends. There is no permanent free tier, and there is no rollover, re-grant, top-up, automatic overage or x402 fallback for trial allowance. A Trial never converts to a paid plan automatically. Continued use of the hosted Services after the Trial requires a paid plan or Mnemo's written authorization.

4.2 Paid plans. Plans, prices and each plan's included monthly verifications are shown at https://www.trymnemo.com/pricing. Paid plans are billed monthly in advance through our payment processor (currently Stripe) and renew monthly until cancelled.

4.3 Included verifications. Each Healthy Verification uses one included verification. Requests that are malformed, rejected for authentication or rate limits, or fail to execute do not use an included verification. When included verifications run out, further verification requests are refused (HTTP 402 insufficient_credits) until the plan renews or you change plan. There is no automatic overage charge and no automatic top-up, and API-key access is never charged through x402.

4.4 Cancellation. You can manage payment methods and cancel through the billing portal. Cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.

4.5 Payment and taxes. You authorize Mnemo and its payment processor to charge the payment method on file for plan fees and applicable taxes. Fees are exclusive of taxes. You are responsible for taxes associated with your purchase, other than taxes on Mnemo's net income.

4.6 SDK. The Mnemo SDK is licensed under the Mnemo SDK License that accompanies it, and Section 11.2 summarizes the main rights. You may use the SDK in development, testing, evaluation and production. The SDK license does not itself entitle you to the hosted Services. Use of the hosted Services requires an active Trial, a paid plan, Mnemo's written authorization, or x402 payment under Section 5.2.

5. Access methods

5.1 Accounts and API keys

API-key access requires an account. You must give accurate account information and keep it current. The account owner's email address is Mnemo's contact for notices to you.

5.2 Accountless access (x402)

  • No account. Automated Systems may use designated agent endpoints without an account or API key, by paying per request with USDC on the Base network under the x402 protocol.
  • Price and challenge. The current public price is $0.01 USDC per Healthy Verification. The exact amount, asset, network and recipient are stated in the payment challenge (HTTP 402 PAYMENT-REQUIRED) that the Services return before any payment. The challenge also identifies the current version of these Terms. By sending a payment authorization in response to a challenge, you accept these Terms in that version and agree to pay the stated amount for the stated Verification.
  • What you pay for. Payment is consideration for Mnemo's verification service only. Mnemo does not hold funds for you, provide a wallet, exchange assets or transmit value to third parties.
  • Blockchain payments are final. Payments settle on a public blockchain and cannot be reversed by Mnemo. You are responsible for the wallet you use, its keys and any network fees.
  • Retries and duplicates. If a supported client retries the same paid request as described in the protocol documentation, the Services recognize the retry and do not charge for it again. A request that has already been paid and settled is answered from its recorded result.
  • Entitlement if a paid Verification cannot be executed. If a payment settles but the Services cannot execute the Verification, no verification is used and a paid entitlement to one Verification is recorded for that namespace. The entitlement is bound to that namespace, is used by a later Verification in that namespace, and expires when the namespace expires. It is non-transferable, cannot be redeemed for money, USDC or any other asset, and has no monetary value. Mnemo does not issue refunds in USDC or any other currency, except where required by law.
  • Accountless namespaces are temporary. A namespace lasts 24 hours by default (at most 72 hours) and is then purged automatically, deleting its Customer Content, unless it is promoted to an account. Payment and accounting records, including the paying wallet address and transaction hash, are kept separately as financial records (see the Privacy Policy).
  • No regulated personal data through accountless access. Accountless access must not be used to submit personal data that is subject to the data protection laws of the European Economic Area, the United Kingdom or Switzerland. Processing of such personal data requires an account, so that the DPA and any applicable transfer terms can identify the Customer.
  • Refusal. Mnemo may refuse to issue a payment challenge or to accept a payment, for example for capacity, abuse, legal or sanctions reasons.

6. Your responsibilities

  • Credentials. Keep API keys, capability tokens and wallet keys confidential. You are responsible for all use made with your credentials or capabilities. Tell us promptly at security@trymnemo.com if you believe they are compromised.
  • Your content and rights. You must have all rights, notices and consents needed to submit Customer Content and to let Mnemo process it under the Agreement.
  • Sensitive data. Do not submit protected health information, payment-card data, regulated biometric data, regulated children's personal data, classified government information, or similarly regulated sensitive information, unless Mnemo has agreed in writing to support that data type.
  • No general content review. Mnemo does not scan or inspect every payload submitted to the Services and is not responsible for Customer Content.
  • Acceptable use. You must comply with the Acceptable Use Policy in Section 7.

7. Acceptable Use Policy

You must not, and must not allow anyone (including an Automated System) to:

  1. use the Services in violation of any applicable law or regulation;
  2. access or attempt to access the Services, other customers' data or Mnemo systems without authorization, or probe, scan or test their vulnerability, except as permitted by Mnemo's security policy;
  3. interfere with or disrupt the Services, attack Mnemo or its infrastructure (including by denial of service), or introduce malware;
  4. share, sell, abuse or misuse credentials or capabilities, or circumvent authentication, billing, payment, quotas or rate limits;
  5. use the Services to infringe or misappropriate the intellectual property or other rights of others, or knowingly to facilitate the distribution of unlawful content;
  6. use the Services to evade sanctions, or for money laundering, terrorist financing, fraud or other illegal financial activity;
  7. reverse engineer, decompile or disassemble the Services, or attempt to extract, reconstruct or replicate Mnemo's watermarking or verification methods, including by systematic analysis of inputs and outputs, except to the extent applicable law expressly permits this despite this restriction;
  8. engage in the competing-implementation activity restricted in Section 11.4, or publish benchmark results of the Services without Mnemo's written permission;
  9. submit the sensitive data described in Section 6 without Mnemo's written agreement; or
  10. use accountless access to submit personal data in breach of Section 5.2.

Mnemo may suspend or restrict access to investigate or prevent a suspected violation.

8. Sanctions and export

You represent that you, and any person or entity on whose behalf you or your Automated Systems act, are not (a) located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or (b) identified on, or owned or controlled by a party identified on, a U.S. government restricted-party list, including OFAC's Specially Designated Nationals and Blocked Persons List. You will not use the Services, or any wallet or funds, in violation of U.S. or other applicable sanctions or export-control laws. Mnemo may refuse, suspend or terminate access, and may decline to issue a payment challenge or to accept a payment, where it believes this is necessary to comply with those laws.

9. Data protection

9.1 Customer Content. You own your Customer Content. You grant Mnemo a limited, non-exclusive license to host, copy, process and transmit Customer Content solely as needed to provide, secure and support the Services and to comply with law.

9.2 Data Processing Addendum. The DPA forms part of these Terms and applies automatically, without signature or further action, to the extent Mnemo processes Customer Personal Data (as defined in the DPA) on your behalf as a processor or subprocessor. Where Customer Personal Data subject to the data protection laws of the European Economic Area, the United Kingdom or Switzerland requires a restricted-transfer mechanism, the applicable transfer mechanism (the EU Standard Contractual Clauses, Module Two or Three, or the UK International Data Transfer Addendum, as applicable) must be completed before you use the Services for such a transfer. Contact legal@trymnemo.com before that use; Mnemo will collect the required legal-entity details and complete it, as described in Section 12 of the DPA.

9.3 Roles. Mnemo processes personal data in Customer Content as your processor (or subprocessor, where you are a processor) and service provider. Mnemo processes Operational Data as an independent controller and business under its Privacy Policy. Mnemo and Customer are not joint controllers.

9.4 No sale, no advertising, no general model training. Mnemo does not sell Customer Content, does not use it for targeted advertising, and does not use it to train generalized AI or machine-learning models without your explicit authorization.

9.5 Security. Mnemo maintains administrative, technical and organizational safeguards designed to protect Customer Content, as described in the DPA. No method of transmission or storage is completely secure.

10. Retention and deletion of Customer Content

Mnemo keeps Customer Content only as long as reasonably necessary to provide the Services, according to the lifecycle that applies to the account or namespace:

  • Accountless namespaces: purged automatically at expiry (24 hours by default, at most 72 hours) unless promoted to an account.
  • Trials: if the account does not move to a paid plan, Customer Content is deleted after the Trial ends, following a 7-day grace period.
  • Paid accounts: Customer Content is retained while the paid relationship is active and needed to provide the Services.
  • Termination or expiry: Customer Content is deleted after a 30-day grace period following termination or expiry of the paid relationship.
  • Account deletion: Customer Content is deleted when the account is deleted.

Deletion removes Customer Content from active systems. Deleted data may remain in backups until they expire: operator-created backups are kept for no more than 30 days, and scheduled provider backups follow the provider's rotation. Mnemo may keep operational records (billing, payment, settlement evidence, security and fraud records, and records of acceptance of these Terms) where reasonably necessary for those purposes; they do not include the underlying Customer Content. Retention may be longer where law requires it.

11. Mnemo intellectual property; SDK and protocol rights

11.1 Ownership. The Services, including the SDK, the protocol documentation, the watermarking and verification methods, and all related software, models, know-how and documentation, are owned by Mnemo and its licensors and are protected by intellectual property laws. The Mnemo technology is patent pending.

11.2 SDK. Under the Mnemo SDK License you may install, use and internally modify the SDK to integrate with and access the Services, including in production. You may distribute the unmodified SDK as a dependency of your own application that integrates with the Services. You may not sell, sublicense or make the SDK, or a modified version of it, available as a standalone product or service. Use of the hosted Services after any Trial requires a paid plan, Mnemo's written authorization or x402 payment.

11.3 Protocol materials and examples. Mnemo grants you a limited, non-exclusive right to use the published Mnemo protocol documentation solely to develop software that interoperates with the Services. The example files identified as MIT-licensed in the applicable examples/LICENSE file are licensed under the MIT License as stated there; the MIT License applies to those files only.

11.4 Competing implementations. You must not use the SDK, the protocol materials, the documentation, the Services or Mnemo's Confidential Information to build, train or operate a product or service that reproduces Mnemo's proprietary implementations or that replicates or substitutes for Mnemo's protected watermarking or verification technology. Nothing restricts you from independently developing technology without use of Mnemo's SDK, protocol materials, documentation or Confidential Information.

11.5 Reservation; patents. Except for the limited rights expressly granted in these Terms or in a license accompanying a specific component, no right or license is granted. Except to the limited extent necessary to exercise the rights expressly granted to access and use the Services, no license or other rights under any Mnemo patent or patent application are granted by implication, estoppel, exhaustion or otherwise. All other rights are reserved.

11.6 Feedback. If you send Mnemo feedback, Mnemo may use it without obligation to you.

12. Confidentiality

"Confidential Information" means a party's non-public information that is marked or reasonably understood to be confidential. Each party will protect the other's Confidential Information with reasonable care and use it only to perform under the Agreement. This does not apply to information that is public through no fault of the recipient, already known to it, independently developed without use of the other party's Confidential Information, or lawfully received from a third party. Disclosure required by law is allowed, with notice where lawful.

13. What a verification result means

A Mnemo verification reports whether a submitted vector carries Mnemo watermark and provenance evidence issued by the Services, and related lineage and policy information, within the limits described in the documentation. A verification result does not establish, and Mnemo does not certify, that any underlying content is true, accurate, lawful, safe, original, non-infringing or owned by any person, or the identity of any human author. Results are probabilistic signals within documented operating limits, and you are responsible for decisions you make based on them.

14. Suspension and termination

Mnemo may suspend or terminate access immediately if you breach the Agreement, if your use creates a security, legal, sanctions or abuse risk, or if required by law. You may stop using the Services at any time, and account holders may cancel as described in Section 4.4. On termination your right to use the Services ends, and Customer Content is handled as described in Section 10 and the DPA. Sections 5.2 (entitlement), 6, 7, 9, 10, 11, 12, 13, 15, 16, 17, 19, 20 and 21 survive termination.

15. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". MNEMO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE, OR THAT ANY VERIFICATION RESULT WILL BE CORRECT IN EVERY CASE. MNEMO DOES NOT OFFER A SERVICE LEVEL AGREEMENT UNLESS AN ORDER FORM PROVIDES ONE.

16. Limitation of liability

16.1 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

16.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MNEMO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) AND (B) THE FEES YOU PAID OR ARE PAYABLE TO MNEMO FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

16.3 Mandatory law. Nothing in the Agreement excludes or limits liability that cannot be excluded or limited under applicable law. Nothing in this Section 16 limits the rights of data subjects under the EU Standard Contractual Clauses or the UK Addendum where they apply.

17. Indemnity

You will defend Mnemo and its affiliates, officers, members, employees and agents against any third-party claim, and indemnify them for resulting losses, damages, fines, penalties, costs and reasonable attorneys' fees, to the extent arising out of or relating to:

  • (a) Customer Content;
  • (b) your, or your Automated Systems', violation of applicable law;
  • (c) infringement or misappropriation of intellectual property or other rights caused by Customer Content or your use of the Services;
  • (d) violation of privacy or publicity rights caused by you, your Automated Systems or Customer Content;
  • (e) your fraud or wilful misconduct;
  • (f) your violation of the Acceptable Use Policy; or
  • (g) unauthorized use of the Services through your account, credentials, capabilities or wallets, or by Automated Systems acting on your behalf.

Mnemo will give you prompt notice of the claim (a delay excuses your obligation only to the extent it prejudices you), reasonable cooperation at your expense, and control of the defence, except that you may not settle a claim that imposes obligations on Mnemo without Mnemo's written consent. Mnemo does not provide an intellectual property indemnity under these Terms; any such indemnity requires an Order Form.

18. Changes; versions

18.1 Versions. Each version of these Terms has a version identifier and an effective date. This version is 2026-10-12. Current and historical versions are published at https://www.trymnemo.com/terms/versions/<version-id>. The version that applies to an event is the version in effect when it occurs.

18.2 Changes. Mnemo may change these Terms prospectively. For material changes, Mnemo will give reasonable notice before the change takes effect, for example by email to account owners, a notice in the dashboard or on the website, or a notice in API responses. Where legally appropriate, continued use of the Services after the effective date of the notified change constitutes acceptance of the changed Terms. Where applicable law requires new affirmative assent, Mnemo will ask for it and the changed Terms will apply to you only after you give it. For accountless access, the payment challenge identifies the current version before each payment, and each payment authorization accepts that version.

18.3 Prices and the Services. Price changes for a paid plan take effect at the start of the next billing period after notice. Mnemo may change the Services; it will not make a change that materially reduces the core functionality of a paid plan during a paid billing period without notice.

19. Governing law and venue

These Terms and the Agreement are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to the Agreement or the Services is subject to the exclusive jurisdiction of the state and federal courts located in Wyoming. Where the EU Standard Contractual Clauses or the UK Addendum have been completed for a transfer, the governing law and forum stated in them apply to those clauses only.

20. Order of precedence

If documents conflict, this order applies: (1) an Order Form or enterprise agreement; (2) the DPA, including the EU Standard Contractual Clauses and the UK Addendum, for matters of data protection (and, within the DPA, the Standard Contractual Clauses and UK Addendum prevail as stated in them); (3) these Terms; (4) policies and pages incorporated by reference. These Terms control over the Mnemo SDK License for use of the hosted Services.

21. General

  • Entire agreement. The Agreement is the entire agreement between the parties about its subject matter and supersedes prior or contemporaneous agreements on that subject. Terms in a purchase order or other document you issue do not apply.
  • Assignment. You may not assign the Agreement without Mnemo's written consent. Mnemo may assign it to an affiliate or to a successor in a merger, acquisition or sale of all or substantially all of the relevant assets.
  • Severability; no waiver. If a provision is unenforceable, it will be enforced to the maximum extent permissible and the rest of the Agreement remains in effect. A failure to enforce a provision is not a waiver.
  • Notices. Mnemo may give notices to the account owner's email address or through the Services. You may give notices to legal@trymnemo.com.
  • Electronic acceptance. Acceptance by use, by clicking, or by an Automated System as described in Section 1.5 is a valid electronic signature and acceptance of the Agreement.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
  • Independent parties; third parties. The parties are independent contractors. There are no third-party beneficiaries, except data subjects to the extent the EU Standard Contractual Clauses or the UK Addendum grant them rights.
